The following definitions apply:
“Client” means the company, firm or organisation which has set up an account with Collabed Social Network Ltd in order to use the Services.
“Applicant” means an individual who applies for, responds to, or otherwise expresses interest in a vacancy posted by the Client, whether or not introduced, sourced, or selected by Collabed Social Network Ltd.
“Services” means the services as set out in clause 2.
“Terms” means these terms and conditions.
“Website” means www.buildmytalent.com and includes without limitation its content, databases, software, code and graphics.
“Job Postings”: means a service whereby the Client will be able to post vacancies on www.buildmytalent.com
“Campaign” means a Service, as described in clause 1.1, under which Collabed Social Network Ltd is instructed by the Client to actively source, advertise and/or promote a specific vacancy.
“Database Publicity” means a Service, as described in clause 1.2, whereby Collabed Social Network Ltd publicises the Client’s vacancy to some or all of the Referrers registered on Collabed Social Network Ltd’s database.
“Referral Scheme” means a Service, as described in clause 1.3, whereby Collabed Social Network Ltd makes the Client’s vacancy available under any referral scheme operated by Collabed Social Network Ltd through its database, under which registered Referrers may refer other individuals for the vacancy.
“Support services” means access to recruitment related information or expertise to aid recruitment processes or to promote Client brands and jobs made available through www.buildmytalent.com supplied either by Collabed Social Network Ltd or by third parties.
“Chargeable Service” means any of a Campaign, Database Publicity, or a Referral Scheme. The Client may, but is under no obligation to, instruct any Chargeable Service in respect of a vacancy. Clauses 3.3 to 3.8 apply only where the Client has instructed one or more Chargeable Services, and do not apply to the Client’s use of Job Postings where no Chargeable Service has been instructed.
“Sourcing Period” means, in respect of a vacancy, the period beginning on the date the Client pays Collabed Social Network Ltd to provide any Chargeable Service in respect of that vacancy, and ending 7 days after the date on which Collabed Social Network Ltd ceases to carry out the sourcing, campaign, advertising, promotional or publicity activity comprising that Chargeable Service in respect of that vacancy, as recorded by Collabed Social Network Ltd.
“Application Date” means the date on which an Applicant first applies for, responds to, registers interest in, or is otherwise introduced to, the vacancy, whether via www.buildmytalent.com, the Client’s own website, careers page, applicant tracking system, or any other means.
“Introduction” or “Introduced” means, in respect of an Applicant, that the Applicant is deemed under clause 3.5 to have been introduced by Collabed Social Network Ltd, including by virtue of the presumption set out in that clause, save where that presumption has been rebutted in accordance with clause 3.6.
“Competing Agency” means a genuine third-party recruitment agency, being a business that is not part of, or an employee of, the Client’s own organisation. The Client’s own internal talent acquisition, HR or recruitment function does not constitute a recruitment agency for these purposes.
1. Services and Pricing. The following Services and Pricing Models are offered:
1.1 Job postings. These are free of charge.
1.2 Database publicity. This is free of upfront charge.
1.3 Campaigns, Referral schemes and Support services. For these an upfront fee is charged. This may be either a quota based subscription or pay per use charge.
In ‘pay per use’ pricing models for database publicity, campaigns and referral schemes a success fee will be charged should the client form a contract of employment with an Applicant introduced by Collabed Social Network Ltd (defined under 3.3)
2. Provision of Services. Collabed Social Network Ltd shall provide the Services in accordance with the following:
2.1 Clients must set up an account with Collabed Social Network Ltd in order to gain access to the Services. Collabed Social Network Ltd reserves the right in its sole and absolute discretion to refuse to offer the Services to any person or organisation.
2.2 Collabed Social Network Ltd shall perform the Services using information and criteria supplied by the Client. It is the Client’s responsibility to provide accurate and up to date information.
2.3 By submitting a vacancy to the Website, the Client is authorising Collabed Social Network Ltd to post such vacancy and to, at its sole discretion, use 3rd parties to promote the vacancy and to submit Applicants.
2.4 Applicant data may be organised by the website’s processing parameters (e.g. skills match; date received).
2.5 Collabed Social Network Ltd may, in its sole and absolute discretion, add to, modify or discontinue any of the Services from time to time.
2.6 Collabed Social Network Ltd reserves the right to change the fees and/or these Terms from time to time, provided that no change in fees or terms shall be retrospective.
3. Contract and Success Fees
3.1. Collabed Social Network Ltd shall issue an invoice to the Client on formation of a contract for supply of services set out in the order confirmation.
3.2 Once a contract has been formed, Collabed Social Network Ltd cannot accept any cancellation of the Collabed Social Network Ltd Services: No refunds will be given and outstanding invoices shall remain payable. Additional credits may occasionally be given at Collabed Social Network Ltd’s sole and absolute discretion.
3.3 Should a client make an offer of employment to an Applicant introduced through Collabed Social Network Ltd within 3 months of the Applicant’s introduction a success fee will become due upon the Applicant’s written acceptance of the offer. This is deemed to be formation of a contract of employment for the purpose of attributing success fees. The Client shall notify Collabed Social Network Ltd within 10 working days of receiving a written acceptance. Success fees are also charged if the client employs the applicant for an alternative similar role.
3.4 Should the Applicant fail to start their employment, a refund of 50% of the success fee may be claimed. This is subject to notification in writing within 7 days and conditional upon the client having complied with the original terms as set out in clauses 3.3, 4.1, 5.7, 5.8 and 5.14. Collabed Social Network Ltd may also, entirely at its discretion, repeat the advertising campaign free of charge.
3.5 It is agreed and presumed that any Applicant whose Application Date falls within the Sourcing Period became aware of the vacancy, directly or indirectly, as a result of the Chargeable Service(s) instructed, regardless of the specific channel, platform or webpage through which the Applicant ultimately made contact with the Client or submitted an application – including, without limitation, where the Applicant applied directly via the Client’s own website, careers page, applicant tracking system, or other means, rather than via www.buildmytalent.com. They are therefore deemed to have been introduced by Collabed Social Network Ltd. For the avoidance of doubt, liability for the fee is determined solely by reference to the Application Date.
3.6 The sole exception to the presumption in clause 3.5 shall be where the Client demonstrates, in accordance with clause 3.7, that the Applicant was the subject of a Competing Agency Introduction.
3.7 A “Competing Agency Introduction” means a written introduction of the Applicant to the Client by a competing agency, made before the Applicant’s Application Date, evidenced by contemporaneous documentation predating that Application Date – such as a dated CV submission of the Applicant from that agency in response to a client’s written instruction to recruit. An unsolicited or informal approach does not constitute a competing agency for these purposes.
3.8 The Client must notify Collabed Social Network Ltd in writing of any claim under clause 3.6, together with the supporting documentary evidence required by clause 3.7, within 10 working days of the Client making an offer of employment to the Applicant. Collabed Social Network Ltd shall be entitled to treat the fee as due and payable in full if such notice and evidence are not provided within that period.
3.9 Where the Client notifies Collabed Social Network Ltd under clause 3.3 more than 10 but not more than 20 working days after the Applicant’s written acceptance of the offer, the fee payable under clause 3.3 for that Applicant shall be one and a half times the amount that would otherwise have applied. If Collabed Social Network Ltd becomes aware of an unnotified Introduction within that same window, it will remind the Client of its notification duty under clause 3.3. A reminder does not affect the rate under this clause 3.9. The increased rate reflects the added cost to Collabed Social Network Ltd of verifying Introductions not notified within the period set out in clause 3.3.
3.10 Where the Client has not notified Collabed Social Network Ltd under clause 3.3 within 20 working days of the Applicant’s written acceptance of the offer, the fee payable under clause 3.3 for that Applicant shall be three times the amount that would otherwise have applied. This reflects the substantially greater cost of identifying, verifying and recovering fees for Introductions not voluntarily notified within a reasonable period.
4. Payment
4.1 The client shall pay Collabed Social Network Ltd’s invoices in full within 14 days from the date of invoice. Payment may not be withheld in the event that the Applicant’s contract is cancelled or terminated by either party.
4.2 In the event of late payment Collabed Social Network Ltd may suspend any or all of the Services until payment is received. The Client shall remain liable for payment of all Collabed Social Network Ltd Services notwithstanding such Services have been suspended or terminated under this clause. Collabed Social Network Ltd reserves the right to charge interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 as amended.
4.3 The Client may provide Collabed Social Network Ltd with a recurring payment authority to enable Collabed Social Network Ltd to take regular payments from the Client’s nominated debit or credit card for payment of the Services. The Client may cancel or update a recurring payment authority at any time by informing Collabed Social Network Ltd. The Client will remain liable for any outstanding fees (if any) in the event that a recurring payment authority is cancelled prior to paying in full for Services provided.

5.3 Applicants have sole control of the information they submit, and Collabed Social Network Ltd does not provide a checking, referencing or authenticating service. The Client is responsible for verifying the information contained in an applicant’s response before choosing to progress the application, including but not limited to the applicant’s identity, eligibility to work, experience, training, qualifications and any authorisations required by the Client, by law or by any relevant professional body for the vacancy. Collabed Social Network Ltd accepts no responsibility for any false or withheld information or for the content of any application, and the Client accepts responsibility for any detriment which it may suffer or incur in respect of the engagement of an applicant and shall hold Collabed Social Network Ltd harmless against any Losses in connection therewith.
5.4 Collabed Social Network Ltd shall not be in breach of these Terms if events beyond its reasonable control prevent Collabed Social Network Ltd from performing the Services.
5.5 In the event that the Client makes a claim against Collabed Social Network Ltd for whatever reason, Collabed Social Network Ltd’s liability (if any) shall not exceed the price paid or to be paid by the Client for the specific Service from which the claim has arisen. Under no circumstances shall Collabed Social Network Ltd be liable for any consequential, indirect or special losses howsoever arising or for any loss of profits, revenue, interest, goodwill, business and/or savings (whether direct or indirect). Nothing in these Terms shall be construed to exclude Collabed Social Network Ltd’s liability for death or personal injury by negligence or any other liability which cannot by law be excluded.
5.6 Collabed Social Network Ltd reserves the right to close any account immediately without liability if, in its opinion, any of the following has occurred:
i. the Client has not provided full or accurate contact or company information;
ii. Collabed Social Network Ltd considers the Client is acting inappropriately or illegally;
iii. the Client is using the Website to advertise websites, services, businesses and/or business in any part of the vacancy or on any part of the site;
iv. the Client fails Collabed Social Network Ltd’s credit checking process, or defaults on payment
v. the Client has shared its CV Search access with a third party.
5.7 The Client undertakes not to submit for inclusion in any job posting or anything to appear on the Website, any material which is illegal, defamatory, offensive, fraudulent, violent, discriminatory, obscene or sexually explicit or which may adversely affect Collabed Social Network Ltd or Collabed Social Network Ltd’s reputation.
5.8 The Client agrees to use the Website and the Services in ‘good faith’ i.e. to post authentic, impartial and unique jobs of reasonable quality, which provide both adequate and accurate job details. The Client also agrees that any abuse of the Services, Website or these Terms can result in the Client’s access to the Services being removed, and its account terminated.
5.9 For the avoidance of doubt, the Client acknowledges that it is acting as a data controller for the purpose of current data protection legislation in connection with any personal data it obtains in the provision of the Services by or through Collabed Social Network Ltd. It is the Client’s responsibility to comply with its obligations as a data controller and to satisfy themselves of the legal grounds for processing any personal data. All applicant data, including its presence on the BuildMyTalent platform, should be treated as confidential by the client.
5.10 All intellectual property rights connected with the Services and/or the Website shall remain vested in Collabed Social Network Ltd or any third party from whom such rights are licensed. The Client shall not reproduce, copy, modify, adapt, publish, transmit, distribute or in any way commercially exploit any material which is subject to any such intellectual property rights.
5.11 The Client is responsible for the content of the vacancy and will indemnify Collabed Social Network Ltd against any claim, loss, liability, expense and/or damage (“Losses”) in connection therewith.
5.12 Where the Client is an employment agency or employment business (as defined in the Employment Agencies Act 1973), it must state in which capacity it is acting in relation to the vacancy.
5.13 All and any subsequent dealings between the Client and any applicant in connection with the applicant’s response to the job posting are the responsibility of the Client, and Collabed Social Network Ltd accepts no liability whatsoever therewith. The Client will indemnify Collabed Social Network Ltd against any Losses in connection therewith.
5.14 The Client will comply with all applicable laws, including without limitation: current data protection legislation and the Equality Act 2010. By submitting a vacancy to the Website, the Client thereby confirms that the content of the vacancy complies with the Code of Practice on Employment provided by the Equality and Human Rights Commission. The Client shall indemnify Collabed Social Network Ltd against any Losses in connection therewith.
5.15 The Client, if an employment agency or an employment business, will comply with the provisions of the Conduct of Employment Agencies and Businesses Regulations 2003 (“the Regulations”) and the Employment Agencies Act 1973 in relation to all vacancies posted on Collabed Social Network Ltd’s site, communications with applicants and management of applicants’ details. The Client shall indemnify Collabed Social Network Ltd against any Losses in connection therewith.
5.16 Collabed Social Network Ltd reserves the right in its sole and absolute discretion to remove any vacancy at any time.

6.6 These Terms together with the Order Confirmation contain the entire agreement and understanding between Collabed Social Network Ltd and the Client.
6.7 If any clause or part of a clause is held to be invalid or unenforceable, this will not affect the validity or enforceability of the remaining clauses or parts.
6.8 The Terms shall be governed by English law and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
